Terms & Conditions
1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern the use of the website located at www.matmilsolutions.com and the engagement of services provided by Matmil Solutions Limited, a company incorporated under the laws of Jamaica with its registered office at Suite 27 Winchester Business Centre, 15 Hope Road, Kingston 10, Jamaica ("Matmil", "we", "our", "us").
By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services. These Terms apply to all visitors, clients, and any other individuals who access or use our services.
2. Definitions
- "Client" means any person or entity that engages Matmil to provide debt recovery or related services.
- "Services" means all services provided by Matmil, including but not limited to strategic debt recovery, proprietary investigative support, field engagement, bailiff and legal enforcement, and process serving.
- "Website" means the website accessible at www.matmilsolutions.com.
- "Debtor" means any individual or entity whose account or debt has been referred to Matmil for recovery.
- "Portfolio" means a collection of debt accounts or receivables referred to Matmil by a Client.
3. Services
3.1 Scope of Services
Matmil provides a comprehensive suite of professional collections and recovery services throughout Jamaica. The specific Services to be provided will be agreed in writing between Matmil and the Client prior to commencement. Our services include:
- Strategic debt recovery and negotiation
- Proprietary investigative intelligence and debtor location
- Professional field engagement
- Bailiff and legal enforcement support
- Process serving in accordance with Jamaican law
3.2 Service Engagement
All engagements shall commence upon execution of a formal service agreement or written instruction accepted by Matmil. Matmil reserves the right to decline any engagement at its sole discretion. A tailored recovery strategy will be developed and presented to the Client before recovery actions commence.
3.3 Standards of Conduct
Matmil is committed to operating in an ethical, professional, and legally compliant manner. All recovery activities are conducted in accordance with applicable Jamaican law, including consumer protection and data protection legislation. Matmil will not engage in harassment, intimidation, or any conduct that violates the rights of debtors.
4. Client Obligations
The Client agrees to:
- Provide accurate, complete, and up-to-date information regarding the portfolio and individual accounts referred to Matmil
- Warrant that all debts referred are legally valid, accurately stated, and not subject to dispute, fraud, or legal prohibition
- Promptly notify Matmil of any payments received directly from debtors, legal proceedings initiated by debtors, or any changes that affect the portfolio
- Comply with all applicable laws governing the collection and referral of debts
- Refrain from engaging other collection agencies in respect of accounts referred to Matmil, without prior written consent
5. Fees and Payment
5.1 Fee Structure
Fees for Services shall be as agreed in the service agreement between Matmil and the Client. Fees may be structured on a contingency basis, a fixed retainer, or a combination thereof, as negotiated with each Client.
5.2 Payment Terms
Invoices issued by Matmil are due and payable within the period specified in the service agreement. Late payments may attract interest charges as set out in the service agreement. Matmil reserves the right to suspend services in the event of non-payment.
5.3 Disbursements
Any disbursements, court fees, filing costs, or third-party expenses incurred in connection with the provision of Services will be charged to the Client in addition to service fees, unless otherwise agreed in writing.
6. Confidentiality
Both parties agree to maintain the confidentiality of all information exchanged in connection with the engagement. Matmil will not disclose Client information to any third party except as necessary to provide the agreed Services, as required by law, or as authorised in writing by the Client. This obligation survives the termination of the engagement.
7. Intellectual Property
All content on the Matmil website, including text, graphics, logos, images, and software, is the property of Matmil Solutions Limited or its content licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any website content without our prior written consent.
8. Limitation of Liability
8.1 No Guarantee of Recovery
Matmil does not guarantee the recovery of any specific amount or percentage of a referred portfolio. Recovery outcomes depend on many factors outside our control, including the financial circumstances of debtors and the legal enforceability of debts.
8.2 Liability Cap
To the fullest extent permitted by applicable law, Matmil's liability to a Client for any claim arising from the provision of Services shall not exceed the total fees paid by the Client to Matmil in the three months immediately preceding the event giving rise to the claim.
8.3 Exclusion of Consequential Loss
Matmil shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, loss of revenue, or loss of business opportunity, howsoever arising.
9. Indemnification
The Client agrees to indemnify, defend, and hold harmless Matmil and its officers, employees, agents, and contractors from and against any claims, liabilities, losses, damages, and expenses (including legal fees) arising from the Client's breach of these Terms, misrepresentation, or the provision of inaccurate or incomplete portfolio information.
10. Termination
Either party may terminate a service engagement by giving written notice as specified in the relevant service agreement. Upon termination, the Client shall pay all fees and disbursements outstanding as at the date of termination. Matmil reserves the right to immediately terminate the engagement in the event of a material breach by the Client.
11. Website Use
You agree not to use our website:
- For any unlawful purpose or in violation of any applicable laws or regulations
- To transmit any unsolicited or unauthorised advertising or promotional material
- To attempt to gain unauthorised access to any part of the website or its related systems
- In any way that could damage, disable, or impair the website or interfere with other users
Matmil reserves the right to restrict or terminate access to the website at any time without notice.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Jamaica. Any disputes arising out of or in connection with these Terms or the provision of Services shall first be subject to good faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to the jurisdiction of the courts of Jamaica.
13. Changes to These Terms
Matmil reserves the right to amend these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our website or services following the posting of amended Terms constitutes your acceptance of those changes.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with any executed service agreement, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior understandings, representations, and agreements.
